Terms of Service

1. Agreement

By using RelayPoint (“Company”), you (“Client”) accept these Terms. If you do not agree, do not use the services.


2. Services Provided

RelayPoint supplies software tools including AI call handling, AI SMS responses, appointment automation, missed-call text-back, workflow automation, and integrations with approved third-party platforms.
RelayPoint does not provide legal, medical, financial, or emergency services.


3. No Performance Guarantees

Results vary by business. RelayPoint does not guarantee revenue, appointments, lead volume, customer conversion, or operational outcomes.


4. AI Agent Disclaimer (Non-Liability)

RelayPoint’s AI may respond to calls and messages using information provided by the Client.

Client acknowledges:

AI may misunderstand, misroute, or misrecord information

AI may produce incomplete, delayed, or inaccurate responses

AI may book appointments incorrectly

AI may provide unintended or imprecise statements

AI is not suitable for emergencies or time-sensitive issues

AI does not provide licensed professional advice

RelayPoint is not liable for:

Lost customers or revenue

Incorrect bookings

Miscommunications

Customer dissatisfaction

Operational disruptions

Errors caused by workflows, Client inputs, or training data

Client is responsible for reviewing AI activity, correcting errors, updating business info, and ensuring workflows reflect current procedures.


5. Florida Call Recording Notice

Florida is a one-party consent state.
Client is solely responsible for notifying callers of recording if required by their policies, industry rules, or federal law.

RelayPoint is not responsible for compliance with call-recording disclosure requirements.


6. Messaging & TCPA Compliance

Client is solely responsible for obtaining proper consent for all SMS and call outreach.
Client must comply with TCPA, CTIA guidelines, carrier rules, and applicable state/federal laws.
RelayPoint is not responsible for:

Messaging violations

Carrier filtering

Fines or legal claims related to texting or calling practices

Client controls all message content, recipients, and automations.


7. Third-Party Services

RelayPoint relies on providers including telephony carriers, AI model providers, hosting services, and payment processors.

RelayPoint is not responsible for outages, delays, or issues caused by third-party systems.


8. Phone Numbers & Routing

AI call handling requires a RelayPoint-assigned number.
Client may port or forward an existing business number to RelayPoint.
RelayPoint is not responsible for forwarding failures, carrier issues, or configuration errors.


9. Usage Limits & Fair Use

Each plan includes defined amounts of AI call minutes, SMS messages, workflows, and users.
RelayPoint may suspend, reduce, or require upgrading if usage exceeds plan limits or impacts system stability.

Abusive use is grounds for immediate termination.


10. Billing & Fees

Services renew monthly

All setup fees are non-refundable

No prorated or partial refunds

Overages may be billed automatically

Failure to pay may result in suspension

Client authorizes automatic recurring billing until cancellation.


11. No Refund Policy

All payments are final.
RelayPoint does not refund for unused minutes/SMS, configuration errors, AI limitations, or third-party outages.


12. Data Ownership & Use

Client owns all contact data, call logs, messages, and business information.
RelayPoint processes data solely to operate the service.
RelayPoint does not sell user or customer data.


13. Confidentiality

Both parties agree to safeguard confidential information.
RelayPoint staff may access Client accounts when required for support or system maintenance.


14. Termination

RelayPoint may terminate service if Client:

Violates these Terms

Misuses AI or communication systems

Breaches TCPA/CTIA or applicable laws

Uses the system for illegal or harmful purposes

Fails to pay

Upon termination, access ends immediately.


15. Modifications

RelayPoint may update services, pricing, and policies to maintain performance, security, or compliance.
Material changes will be communicated to the Client.


16. Limitation of Liability (Florida-Enforceable)

To the fullest extent permitted under Florida law:

RelayPoint’s total liability for any claim is limited to one month of service fees

RelayPoint is not liable for consequential, incidental, indirect, or punitive damages


17. Indemnification

Client agrees to indemnify and hold RelayPoint harmless from claims arising out of:

Messaging or calling practices

AI responses or miscommunications

Misuse of workflows

Violations of policy or law

Inaccurate or incomplete business information provided by Client


18. Governing Law (Florida)

These Terms are governed by the laws of the State of Florida.
Venue for disputes shall be in Hillsborough County, Florida, unless otherwise required by law.
